  7. Thank you for your interest in Akka, a Typesafe Inc. (the
  8. "Company") Open Source project. In order to clarify the intellectual
  9. property license granted with Contributions from any person or entity,
  10. the Company must have a Contributor License Agreement ("CLA") on file
  11. that has been signed by each Contributor, indicating agreement to the
  12. license terms below. This license is for your protection as a
  13. Contributor as well as the protection of the Company and its users;
  14. it does not change your rights to use your own Contributions for any
  15. other purpose.

  33. You accept and agree to the following terms and conditions for Your
  34. present and future Contributions submitted to the Company. In
  35. return, the Company shall not use Your Contributions in a way that
  36. is contrary to the public benefit or inconsistent with its nonprofit
  37. status and bylaws in effect at the time of the Contribution. Except
  38. for the license granted herein to the Company and recipients of
  39. software distributed by the Company, You reserve all right, title,
  40. and interest in and to Your Contributions.

  42. 1. Definitions.
  43.  
  44. "You" (or "Your") shall mean the copyright owner or legal entity
  45. authorized by the copyright owner that is making this Agreement
  46. with the Company. For legal entities, the entity making a
  47. Contribution and all other entities that control, are controlled
  48. by, or are under common control with that entity are considered to
  49. be a single Contributor. For the purposes of this definition,
  50. "control" means (i) the power, direct or indirect, to cause the
  51. direction or management of such entity, whether by contract or
  52. otherwise, or (ii) ownership of fifty percent (50%) or more of the
  53. outstanding shares, or (iii) beneficial ownership of such entity.

  55. "Contribution" shall mean any original work of authorship,
  56. including any modifications or additions to an existing work, that
  57. is intentionally submitted by You to the Company for inclusion
  58. in, or documentation of, any of the products owned or managed by
  59. the Company (the "Work"). For the purposes of this definition,
  60. "submitted" means any form of electronic, verbal, or written
  61. communication sent to the Company or its representatives,
  62. including but not limited to communication on electronic mailing
  63. lists, source code control systems, and issue tracking systems that
  64. are managed by, or on behalf of, the Company for the purpose of
  65. discussing and improving the Work, but excluding communication that
  66. is conspicuously marked or otherwise designated in writing by You
  67. as "Not a Contribution."

  69. 2. Grant of Copyright License. Subject to the terms and conditions of
  70. this Agreement, You hereby grant to the Company and to
  71. recipients of software distributed by the Company a perpetual,
  72. worldwide, non-exclusive, no-charge, royalty-free, irrevocable
  73. copyright license to reproduce, prepare derivative works of,
  74. publicly display, publicly perform, sublicense, and distribute Your
  75. Contributions and such derivative works.

  77. 3. Grant of Patent License. Subject to the terms and conditions of
  78. this Agreement, You hereby grant to the Company and to
  79. recipients of software distributed by the Company a perpetual,
  80. worldwide, non-exclusive, no-charge, royalty-free, irrevocable
  81. (except as stated in this section) patent license to make, have
  82. made, use, offer to sell, sell, import, and otherwise transfer the
  83. Work, where such license applies only to those patent claims
  84. licensable by You that are necessarily infringed by Your
  85. Contribution(s) alone or by combination of Your Contribution(s)
  86. with the Work to which such Contribution(s) was submitted. If any
  87. entity institutes patent litigation against You or any other entity
  88. (including a cross-claim or counterclaim in a lawsuit) alleging
  89. that your Contribution, or the Work to which you have contributed,
  90. constitutes direct or contributory patent infringement, then any
  91. patent licenses granted to that entity under this Agreement for
  92. that Contribution or Work shall terminate as of the date such
  93. litigation is filed.

  95. 4. You agree that all Contributions are and will be given entirely
  96. voluntarily. Company will not be required to use, or to refrain
  97. from using, any Contributions that You, will not, absent a
  98. separate written agreement signed by Company, create any
  99. confidentiality obligation of Company, and Company has not
  100. undertaken any obligation to treat any Contributions or other
  101. information You have given Company or will give Company in the
  102. future as confidential or proprietary information. Furthermore,
  103. except as otherwise provided in a separate subsequence written
  104. agreement between You and Company, Company will be free to use,
  105. disclose, reproduce, license or otherwise distribute, and exploit
  106. the Contributions as it sees fit, entirely without obligation or
  107. restriction of any kind on account of any proprietary or
  108. intellectual property rights or otherwise.

  110. 5. You represent that you are legally entitled to grant the above
  111. license. If your employer(s) has rights to intellectual property
  112. that you create that includes your Contributions, you represent
  113. that you have received permission to make Contributions on behalf
  114. of that employer, that your employer has waived such rights for
  115. your Contributions to the Company, or that your employer has
  116. executed a separate Corporate CLA with the Company.

  118. 6. You represent that each of Your Contributions is Your original
  119. creation (see section 7 for submissions on behalf of others). You
  120. represent that Your Contribution submissions include complete
  121. details of any third-party license or other restriction (including,
  122. but not limited to, related patents and trademarks) of which you
  123. are personally aware and which are associated with any part of Your
  124. Contributions.

  126. 7. You are not expected to provide support for Your Contributions,
  127. except to the extent You desire to provide support. You may provide
  128. support for free, for a fee, or not at all. Unless required by
  129. applicable law or agreed to in writing, You provide Your
  130. Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS
  131. OF ANY KIND, either express or implied, including, without
  132. limitation, any warranties or conditions of TITLE, NON-
  133. INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

  135. 8. Should You wish to submit work that is not Your original creation,
  136. You may submit it to the Company separately from any
  137. Contribution, identifying the complete details of its source and of
  138. any license or other restriction (including, but not limited to,
  139. related patents, trademarks, and license agreements) of which you
  140. are personally aware, and conspicuously marking the work as
  141. "Submitted on behalf of a third-party: [named here]".

  143. 9. You agree to notify the Company of any facts or circumstances of
  144. which you become aware that would make these representations
  145. inaccurate in any respect.

  147. 9. The validity of the interpretation of this Agreements shall be
  148. governed by, and constructed and enforced in accordance with, the
  149. laws of Sweden, applicable to the agreements made there (excluding
  150. the conflict of law rules). This Agreement embodies the entire
  151. agreement and understanding of the parties hereto and supersedes
  152. any and all prior agreements, arrangements and understandings
  153. relating to the matters provided for herein. No alteration, waiver,
  154. amendment changed or supplement hereto shall be binding more
  155. effective unless the same as set forth in writing signed by both
  156. parties.
